Terms of Service

Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and Focor Inc. (“Focor”, “we”, “us”), a Delaware corporation. They govern your access to and use of focor.com and the Focor product (together, the “Service”).

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.

The Focor service

Focor is the attention layer for your AI stack. With your authorization, it reads across the tools you connect, builds a private model of how you work, and surfaces what deserves your attention. The Service may evolve over time as we add, change, or remove features.

Private Beta

The Service is currently offered as a free Private Beta for evaluation. By taking part, you understand and agree that:

• Access is provided free of charge during the Private Beta.
• The Service is a work in progress and may be incomplete, contain defects, or change at any time.
• We may modify, suspend, limit, or discontinue all or part of the Service, or end the Private Beta, at any time and without liability.
• We make no guarantee of availability, uptime, or service level during the Private Beta.

Your account

To use the product you must create an account. You agree to provide accurate information, keep your credentials secure, and remain responsible for all activity under your account. Notify us promptly at info@focor.com of any unauthorized use.

Connected services and your content

The Service lets you connect third-party tools. When you connect a source, you authorize Focor to access and process data from it to provide the Service.

• You represent that you have the right and any necessary permissions, including from your employer or organization, to connect those sources and to let Focor process the data in them.
• You own your content. You retain all rights to the data and content you connect or provide (“Your Content”).
• You grant Focor a limited, non-exclusive, revocable license to host, process, and analyze Your Content solely to provide, secure, and improve the Service for you.
• Personal data is handled as described in our Privacy Policy. Where Focor processes data on behalf of your organization as a controller, our Data Processing Agreement governs that processing. You can disconnect any source or delete your model at any time.

Acceptable use

You agree not to:

• Break the law or infringe the rights of others.
• Upload malware, or attempt to disrupt, overload, or compromise the Service.
• Reverse engineer, scrape, or attempt to extract source code, except where the law expressly permits it.
• Circumvent security, access controls, or usage limits, or access the Service by means we did not authorize.
• Resell, sublicense, or use the Service to build a competing product.
• Connect data you do not have the right to connect, or violate the terms of any service you connect.

AI output

Focor uses AI and large language models. The output it produces, including summaries, rankings, and what it surfaces as deserving your attention, may be inaccurate or incomplete. It is assistive only, and is not legal, financial, medical, or other professional advice. You are responsible for reviewing output and for the decisions you make. Do not rely on the Service as your sole basis for any consequential decision.

Intellectual property

The Service, including all software, design, and related intellectual property, is owned by Focor and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during the Private Beta, subject to these Terms. The Focor name and marks are ours, and may not be used without permission.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free, worldwide license to use them without restriction. Your Content remains yours.

Third-party services

The tools you connect and any other third-party services are governed by their own terms and privacy policies. Focor is not responsible for them, and your use of them is at your own risk. You are responsible for complying with their terms.

Confidentiality of the beta

The Private Beta, including non-public features, performance, and any related information we share with you, is confidential. You agree not to disclose it publicly without our prior written consent.

Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or accurate. This is especially true during the Private Beta.

Limitation of liability

To the fullest extent permitted by law, Focor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising from or related to your use of the Service.

Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim (which, during the free Private Beta, is zero) or US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold Focor harmless from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your connected sources, or your breach of these Terms.

Term and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, including for breach of these Terms or to end the Private Beta.

On termination, your right to use the Service ends, and we will delete or anonymize your data as described in our Privacy Policy. Sections that by their nature should survive termination will survive.

Changes to these terms

We may update these Terms from time to time. We will post the updated Terms here and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at info@focor.com and attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to venue there. Nothing here waives any consumer-protection rights that cannot be waived under applicable law.

General

• Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Focor regarding the Service.
• Severability: if any provision is unenforceable, the rest remains in effect.
• No waiver: our failure to enforce a provision is not a waiver of it.
• Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
